Company Secretary and Head of Legal

Job Purpose

The Company Secretary and Head, Legal is responsible for providing Board Secretarial and related services to the Board of Directors and ensure effective and efficient management of contract administration, company insurance, legislative drafting and compliance with legal and regulatory legislation including provision of legal advice to members of management.

Duties and Responsibilities;

  1. Manage relationships and all issues relating to Board of Directors and shareholders, including convening Board, Committee and General Meetings
  2. Ensure compliance by the Bank with best corporate governance practices including risk identification and mitigation
  3. Filing statutory returns (secretariat related)
  4. Provide efficient, effective legal support services and ensuring compliance by the Bank with laws governing its operations
  5. Providing legal support and clear and concise solutions to business
  6. Managing litigation and dispute resolution claims
  7. Managing security perfection and documentation
  8. Facilitate recovery of delinquent accounts
  9. Ensure the Bank is legally protected in all its transactions, with customers and other third parties
  10. Advise the Board, management and business teams on statutory developments affecting the business and corporate governance matters
  11. Organizing both board and management committee meetings
  12. Take minutes for both board and management meetings and ensure proper resolutions are prepared and filed
  13. Facilitate drafting and reviewing of bank policies in different units to ensure they are in line with the law
  14. Updating board charters, inductions and training of board members.
  15. Any other duties that may be assigned from time to time.

Qualifications, Skills and Experience for Appointment

  1. A minimum of twelve (12) years in relevant work experience and at least eight (8) years in management in the Public or Private Sector;
  2. Bachelor of Laws degree or equivalent qualifications from a recognized institution;
  3. Masters Degree in any of the following disciplines; Law, or equivalent qualifications from a recognized institution will be an added advantage.
  4. Postgraduate Diploma in Law from the Kenya School of Law;
  5. Admitted as an Advocate of the High Court of Kenya;
  6. Hold a valid practicing certificate;
  7. Member of the Law Society of Kenya;
  8. Strong knowledge of legal services and risk management
  9. Policy development, regulatory compliance and contract negotiation skills
  10. Proficiency in computer applications;
  11. Leadership course/programs from recognized institutions.
  12. Show merit and ability as reflected in work performance and results;
  13. Fulfil the requirements of Chapter Six of the constitution.
